Terms and Conditions for Supply of Services

1 DEFINITIONS
  • “Customer” means any person, company, or partnership who purchases Services from MPS Manager;
  • “Proposal” means a statement of work, quotation, website, or other document or media describing the Services to be provided by MPS Manager;
  • “Services” means the managed platform monitoring and related support services specified in the Proposal;
  • “MPS Manager” means the service provider offering managed support for print management platforms, trading as MPS Manager;
  • “Terms and Conditions” means the terms set out in this document and any written special terms agreed by MPS Manager.
2 GENERAL
  • These Terms apply to all contracts for Services by MPS Manager to the Customer and override any Customer terms.
  • Any variation to these Terms must be agreed in writing by MPS Manager.
  • Nothing here prejudices MPS Manager’s legal remedies or affects the Customer’s statutory consumer rights.
3 ORDERS
  • All orders for Services are acceptance of the Proposal under these Terms and Conditions.
4 PRICE AND PAYMENT
  • All subscription fees must be paid upfront before service is activated.
  • Payment terms for invoiced items are strictly 15 days from the date of the invoice. Late payment will result in immediate suspension of the service.
  • Late payments may incur interest at base rate + 2% per month.
5 SERVICE DELIVERY
  • Start dates are estimated only. MPS Manager is not liable for delays outside of its control.
6 CUSTOMER OBLIGATIONS
  • Customers must cooperate with MPS Manager, provide necessary access and contact information, and notify any changes.
7 MPS MANAGER OBLIGATIONS
  • MPS Manager will perform Services with reasonable care and skill, to industry standards.
8 CANCELLATION & TERMINATION
  • Subscriptions auto-renew unless cancelled with at least 14 days’ written notice prior to the renewal date.
  • If you choose to cancel partway through a billing cycle, service will continue until the end of that period, no refunds will be issued.
  • MPS Manager reserves the right to terminate the agreement for breach, non-payment, or misuse.
9 CONFIDENTIALITY
  • All Customer data is treated confidentially unless required by law or regulatory obligation.
10 LIABILITY
  • MPS Manager’s liability is limited to the price of the Services and excludes indirect or consequential losses.
11 GOVERNING LAW
  • These Terms are governed by the laws of England and disputes are subject to the English courts’ jurisdiction.
